These terms and conditions outline the rules and regulations for the use of Horizon Recuitment's Website, located at https://horizonrecuitment.co.uk.
By accessing this website, we assume you accept these terms and conditions. Do not continue to use Horizon Recuitment if you do not agree to take all of the terms and conditions stated on this page.
1. Definitions
1.1 In these Terms of Business (“Terms”), the following definitions apply:
“Agency” means Horizon Recruitment Ltd [Company Number], [Registered Address].
“Candidate” means any individual introduced by the Agency to the Client, including any employee, officer, contractor or representative of a corporate Candidate.
“Client” means any person, partnership, company, subsidiary or associated entity to whom the Candidate is introduced.
“Engagement” means the employment, engagement or use of a Candidate by the Client or any third party following an Introduction, whether under a contract of employment, contract for services, consultancy, partnership or via a personal service company.
“Introduction” means the provision of Candidate details or any interview arranged by the Agency that results in an Engagement.
“Introduction Fee” means the fee payable by the Client to the Agency for an Introduction resulting in an Engagement.
“Remuneration” includes salary, fees, commission, bonuses, allowances, inducement payments, benefits and any other taxable or non-taxable emoluments payable to the Candidate. Where a company car is provided, a notional sum of £4,000 shall be added for fee calculation purposes.
“Vulnerable Person” means any individual who by reason of age, illness, disability or other circumstance requires care or attention and includes persons under 18.
1.2 Words in the singular include the plural and vice versa.
1.3 Headings are for convenience only and do not affect interpretation.
2. The Contract
2.1 These Terms and any schedules constitute the entire agreement between the Agency and the Client for the supply of permanent or fixed-term staff.
2.2 These Terms are deemed accepted upon Introduction of a Candidate or Engagement of a Candidate.
2.3 These Terms override any Client terms unless agreed in writing by a director of the Agency.
2.4 No variation is valid unless agreed in writing by a director of the Agency.
2.5 The Agency acts as an employment agency within the meaning of the Employment Agencies Act 1973.
3. Notification and Fees
3.1 The Client shall:
(a) notify the Agency immediately of any offer made to a Candidate;
(b) confirm acceptance of any offer and provide remuneration details and supporting documentation on request;
(c) pay the Introduction Fee in accordance with these Terms.
3.2 The Introduction Fee is payable if the Client Engages the Candidate within six months of Introduction or withdrawal/rejection of an offer.
3.3 The Introduction Fee is calculated in accordance with the Fee Schedule based on the first 12 months Remuneration.
3.4 Where Remuneration is unknown, the Agency may estimate Remuneration based on market rates and information provided by the Client.
3.5 Where Engagement is for a fixed term of less than 12 months, the fee will be pro-rated. If the Engagement is extended or the Candidate is re-engaged within six months, additional fees apply, subject to the cap that total fees will not exceed the 12-month fee.
3.6 The Client shall not set off or withhold payment for any reason.
3.7 Fees are payable within 14 days of invoice.
3.8 VAT is payable at the prevailing rate.
3.9 Late payments accrue interest under the Late Payment of Commercial Debts (Interest) Act 1998.
3.10 If any Agency employee joins the Client within three months of leaving the Agency, an Introduction Fee is payable.
3.11 Retained recruitment projects may be agreed separately and shall be governed by a Retained Recruitment Schedule. No refunds apply if the Client withdraws from a retained search.
4. Refunds
4.1 If Engagement does not commence or terminates within 10 weeks (excluding redundancy), the Client may receive a rebate of 10 percent of the Introduction Fee for each full week not worked.
4.2 The Client must notify the Agency within seven days to qualify for a refund.
4.3 Termination date means the date the Candidate ceases work or would have ceased but for garden leave or payment in lieu of notice.
4.4 No refunds apply to fixed-term arrangements under clause 3.5.
4.5 If the Candidate is re-engaged within six months, any refunded amounts must be repaid and no further refunds apply.
5. Introductions to Third Parties
Candidate details are confidential. If the Client discloses Candidate details to a third party and that third party engages the Candidate within six months, the Client remains liable for the Introduction Fee. No refunds apply.
6. Suitability and Compliance Checks
6.1 The Agency will take reasonable steps to confirm Candidate suitability, legal requirements and willingness to work.
6.2 The Client or the Agency shall be responsible for:
(a) references and background checks;
(b) right-to-work verification;
(c) medical checks;
(d) qualification and regulatory requirements.
6.3 The Client shall provide full role details including duties, location, remuneration, risks, start date and notice periods.
6.4 For roles involving Vulnerable Persons, the Agency will take reasonable steps to verify identity, qualifications and obtain references, and will inform the Client if full verification is not possible.
7. Information to be Provided
The Agency will confirm Candidate checks within three business days unless the Candidate has worked with the Client in the previous five business days.
8. Confidentiality and Data Protection
All Candidate and Agency information is confidential and must only be used for recruitment purposes. Both parties shall comply with UK GDPR and the Data Protection Act 2018.
9. Liability
The Agency shall not be liable for any losses arising from Candidate performance, suitability or failure to introduce Candidates. Liability for death or personal injury caused by negligence is not excluded.
10. Notices
Notices shall be in writing and delivered by hand, post or email. Notices are deemed served when delivered, 48 hours after posting, or upon sending by email.
11. Severability
If any provision is unenforceable, it shall be severed and the remaining provisions shall remain in force.
12. Governing Law
These Terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
